A funding round is a dated constraint on hiring, burn, and the next conversation with existing holders. Carta measured 9,843 US rounds and found the median seed-to-Series A gap at 1.9 years in Q4 2025. This page translates those stage labels into a hiring and runway calendar — and says which US figures do not travel to a market without a dependable Series A.

What a round label actually buys

Seed, Series A, and growth are not prestige ranks. They are statements about remaining uncertainty. A seed check buys time to find a repeatable buyer. A Series A check buys time to make that buyer system cheap enough to hire against. Growth capital buys distribution after the system already works.

Carta’s Q3 2025 print puts median seed pre-money at $16 million and Series A at $49.3 million. Those are US primary-round medians, not Iranian asking prices. Use them to test whether your hiring plan assumes a step-change the next check will not fund.

Budget the gap, not the toast

Operators still quote an 18-month raise. Carta’s Q4 2025 sample of 9,843 US rounds puts the median seed-to-A wait at 1.9 years. An 18-month plan against a 23-month median means the next conversation starts from weakness. Write the hiring freeze date on the same page as the target close date.

NVCA counted 15,352 US venture deals in 2025 and 5,049 of them pre-seed or seed. Volume at the first check is not the same as volume at growth.

A worked runway check

Take a $3.0 million seed and a $150,000 monthly net burn. That is 20 months of cash. Against a 1.9-year median wait you are short before the introduction emails go out. Either the burn falls, the close date moves forward, or the plan admits a bridge.

In Iran the same arithmetic usually has no priced Series A at the end of it. Treat the seed as the last outside check unless a named investor has dated a follow-on.

Promises that should wait

Do not staff a Series A org chart on a seed close. Do not promise a geography you cannot support until the next close is dated. Do not tell employees the raise is almost done unless a term sheet has a date and a remaining diligence list.

A reversible contractor engagement is different from a permanent management layer: it can test demand without committing the next payroll year. The boundary is the cancellation date and total cash exposure, both written before work starts.

What the yearbook does not measure

NVCA and Carta describe US venture-backed companies. Most new firms never raise. A profitable services company in Mashhad that never appears in those tables is not a failed fundraise; it is a different sport.

The tables also do not report your investor access, currency controls, collection cycle, or whether a local follow-on market exists. Use their stage spacing as an external stress test, then rebuild the calendar from your own bank balance and named financing options.

Frequently asked questions

How much runway should a seed plan carry in 2026?

Plan 24 months if you expect a US Series A, because the Carta median is 1.9 years. If you do not expect that A, plan until default-alive.

Can I use Carta medians for an Iranian raise?

Only as a warning that US gaps are long. They are not asking prices for a rial-denominated company.

Which number belongs on a hiring plan?

Months of cash after the planned close, not the headline pre-money.

What if the round slips?

Trigger the freeze written on the same page as the target date.
